Introduction
In this client agreement, “Mapletrite,” “we,” “us,” and “our” refer to Mapletrite Inc., together with its employees, directors, successors, and assigns. The terms "you" and “your" refer to the person registered to use some or all the services described in the Agreement.
Mapletrite Inc. owns the website (www.mapletrite.com). This Website is offered to you on the condition that you accept without modification the terms, conditions, disclaimers, and Privacy Statement contained herein. Your website use constitutes your consent to all such releases, Privacy Statement, and other terms and conditions.
Mapletrite is a Canadian corporation authorized and regulated by the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC) with the business registration number (….) to deal in virtual currencies, foreign exchange, and money-transferring activities.
General Provisions
1. About These Terms
1.1 Contract
1.1.1 By accessing and using the remittance facility application, you accept and agree to the terms and conditions in this Agreement. You must indicate your consent to this Agreement by ticking the Terms and Conditions box and the "SUBMIT" or “ACCEPT” button and ensuring all sections have been completed fully and accurately. We may only provide you with appropriate access if you do.
1.2 Amending This Agreement
1.2.1 Mapletrite may, in its sole discretion, modify this Agreement occasionally. However, you will be notified and allowed to review them before they take effect unless changes are required by law.
1.2.2 Unless otherwise specified by Mapletrite, all modifications shall take effect automatically upon publication and become part of this Agreement. You will be aware of any changes to the terms and conditions immediately they are made, and by continuing to access or use Mapletrite Services, you will be deemed to have agreed to accept and be bound by any modifications to this Agreement.
1.2.3 Changes to these terms and conditions will only be effective from the date they are made and will not change the terms on which you previously used the Service.
1.3 Prohibition Of Use
You agree to use the Mapletrite Platform strictly for personal, internal, and non-commercial use. Third- party funding is NOT permitted. You can only fund your wallet using a bank account or payment instrument issued by a Canadian institution under your name. The name must match the verified name within your Mapletrite profile. Mapletrite reserves the right to reject any deposit from third parties. Mapletrite Platform is licensed to you on a non-transferrable or non-exclusive basis. You shall not rent, lease, sell, sublicense, lend or do any act that violates our intellectual property in the Service. You may, however, download, retrieve and display the Service from the Website on the computer screen, print individual pages on paper, photocopy and store such pages in an electronic form on disk, provided all the intellectual property in the Service continues to vest with us.
KINDLY NOTE: The elements of the Website, including all parts of the Service (“Intellectual Property”), are owned by us and our suppliers and are protected by copyright and trademark laws, international treaty provisions, and these Terms of Use. Any reproduction, modification, copying, distribution, transmission, display, publishing, or redistribution of the Service is expressly prohibited by law and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.
2. Account Registration and Requirements
2.1 Registration
2.1.1 All new Users must sign up for a Mapletrite Account before using any Mapletrite Services.
2.1.2 A bank does not issue Your Mapletrite Wallet. Therefore, no interest will accrue or be paid on wallet balances.
2.1.3 In compliance with Canada's anti-money laundering law, we must obtain, verify, and record information about you. Therefore, you agree to provide us with all relevant information and documents requested by us and all other information as prompted by the Service’s registration form; that all information supplied to Mapletrite at any time is accurate and current, and no material information has been withheld; that you will update any information immediately at the time of changing, to keep it accurate, current and complete; and that Mapletrite may LEGALLY conduct necessary investigations directly or through a third party to verify your identity as part of the registration process.
2.1.4 Furthermore, by entering into this Agreement, you consent to Mapletrite making inquiries with third parties, including credit bureaus, to verify the information you supply as part of opening an Account.
WHERE INFORMATION PROVIDED IS MISREPRESENTED, OR WE HAVE THE GROUNDS TO SUSPECT THAT SUCH INFORMATION IS INACCURATE, NOT CURRENT, OR INCOMPLETE, MAPLETRITE RESERVES THE RIGHT AT ALL TIMES, TO SUSPEND OR TERMINATE THE SERVICE.
2.2 Eligibility
2.2.1 To be eligible to register for and use our Services, you must:
Be at least (18) years old or of legal age.
Canada resident, physically located in Canada.
Intend to use the Mapletrite Platform for your use and not on behalf of, or as an agent to, any other person or entity. Not a person listed on any sanctions list in Canada or any other country.
Not a Politically Exposed Person as defined in Canada's anti-money laundering/anti-terrorist-financing legislation. Meet Mapletrite’ anti-money laundering standards, which are applied at our sole discretion.
IT IS YOUR RESPONSIBILITY TO READ AND UNDERSTAND THE PARTNER TERMS BECAUSE THEY CONTAIN TERMS AND CONDITIONS CONCERNING YOUR MAPLETRITE ACCOUNT, INCLUDING BUT NOT LIMITED TO LIMITATIONS, REVERSALS, ARBITRATION PROVISIONS, AND YOUR RELEVANT RIGHTS AND LIABILITIES.
3. Liabilities
Disclaimer Of Warranties
3.1 Mapletrite Services are provided on an “as is” and “as available” basis. Except as warranted in this Terms of Use, we expressly disclaim all warranties of any kind, whether express or implied or statutory, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose,data accuracy and completeness, and any warranties relating to non-infringement in the Service. We shall not be responsible or liable for the authenticity, accuracy, completeness, errors, omission, typographic errors, disruption, delay, interruption, failure, deletion, or defect of any information, research, reports, analysis, quotes, etc., in this Website or any part thereof. Also, we shall not incur any liability, direct or indirect, to you or any third party because of the non-functioning of any equipment belonging to you, any third party or us. We shall not be responsible for any downtime of such equipment.
3.2 Indemnification
You will defend, indemnify and hold harmless Mapletrite, its parents, affiliates, licensors, suppliers, Issuer, contractors and their respective shareholders, directors and officers, assigns, and successors-in- interest from any liabilities, damages caused by any virus, personal injury, loss of profits, data or other intangible, any damages arising from interruption, suspension or termination of Service, including but not limited to direct, indirect, incidental, special, consequential or exemplary damages, whether such interruption, suspension or termination was justified or not, negligent or intentional, inadvertent or advertent, causes of action and costs arising out of or resulting from:
You must comply with this Agreement.
Your use of the Services, or any part of them.
Your alleged negligent or willful acts or omissions, or those of your agents or employees. Any third-party use of your Account or your Services. In no event will our liability for any claim, whether in contract, tort, or any other theory of liability, exceed one CAD. You also agree that your sole remedy under these Terms of Use is cancellation of the Service.
3.3 Reliance By Mapletrite
You represent and warrant that all information you enter regarding the Remittance payments is accurate and complete. When processing a Remittance payment, Mapletrite may rely on the registration and payment request information you provide. You acknowledge that any errors in the report, including misidentification of Beneficiary (s), incorrect or inconsistent account names and numbers, or misspellings, are your responsibility and that Mapletrite shall have no liability for executing a Remittance payment based upon the inaccurate or incomplete information you provided.
3.4 Cancellation Of Instruction
Once we have received your Instruction, you cannot cancel it. Notwithstanding this clause, we may attempt to reverse your Instruction if you have informed us that you wish us to do so. Sometimes, we may have initiated an irreversible request for funds to be paid out to your Payee by a Service Provider. If this is the case, we cannot guarantee that the reversal will be successful. PLEASE NOTE: We may apply a charge to reverse your Instruction.
4. Rewards
4.1 Mapletrite may allow you to earn rewards for activities such as referring other people to the
Mapletrite Platform. Mapletrite reserves the right to modify, suspend, or cancel the tips at any time.
4.2 Good Faith
We introduce programs like these in good faith and expect the same good faith in return. Please note that we may withhold awards where we believe customers are acting in bad faith or otherwise acting contrary to the intent of this program. Commercializing, advertising, publishing, mass distributing, selling, or paying for referral links is inappropriate, and we will not honour such links. We cannot cover every nefarious scenario, nor will we attempt to, but we promise to be fair and reasonable.
5. Your Suggestion
If you suggest a feature or change to the Mapletrite Platform, or if you submit to us any marketing material (a "Suggestion"), then you agree that we may make use of the Suggestion and disclaim any intellectual property rights, including any moral rights, to any resulting intellectual property.
6. Privacy
Mapletrite is committed to customers' privacy, but as a regulated business, we may be required to share your personal information with FINTRAC and other regulatory agencies or law enforcement. We may also disclose your personal information to credit bureaus, anti-money laundering service providers, or other identity verification partners as part of opening your Account or for periodic checks to ensure we have accurate information about you. We may also disclose your personal information to financial institutions or intermediaries. Our commitment to privacy is further explained in the Mapletrite Privacy Policy, which forms part of this Agreement.
7. Termination and Enforcement
7.1 Either party may terminate this Agreement for any reason or no reason without notice and further liability.
7.2 Enforcement Action
Mapletrite Inc. may take any appropriate action to enforce the Agreement, including employing any third- party agent to collect any amount owed, enforcing its rights against your assets, such as attaching any amount due to those assets and commencing legal proceedings.
8. Forum and Governing Law
This Agreement will be governed by and construed by the laws of the Province of British Columbia. The parties submit to the jurisdiction of the Courts and Tribunals of British Columbia, Canada.
Entire Agreement
9.1. This is the entire Agreement between Mapletrite and you. This Agreement supersedes any other understandings or contracts, and you represent that in entering into this Agreement, you have not relied on any representations made by Mapletrite.
